These Terms of Use (“Terms”) govern your access to and use of the websites, web widgets, Passenger App, Driver App, Management Dashboard, communities, and related services provided by E-BookNow (“we,” “us,” “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

Important: E-BookNow is a technology platform that facilitates bookings and dispatch between passengers, car & limo service companies, drivers, and dispatchers. We are not a transportation carrier, and we do not provide transportation services. Transportation is provided by independent third-party companies and drivers.

1. Eligibility & Accounts

• You must be at least the age of majority in your jurisdiction and have legal capacity to enter into these Terms.
• You may need an account to use certain features. You are responsible for safeguarding your credentials and for all activities under your account.
• Provide accurate, current information and keep it updated. We may suspend or terminate accounts for inaccurate information, violation of these Terms, or suspected fraud.

2. Platform Role; No Transportation Services

• We provide tools to request, manage, and dispatch rides, including live tracking where enabled.
• Transportation is arranged with independent carriers/drivers. We do not control driver conduct, vehicles, schedules, or pricing policies of third-party companies.
• We are not responsible for acts or omissions of third parties (drivers, companies, dispatchers, affiliates) unless required by law.

3. Bookings, Pricing & Payments

• Quotes may include base fares, tolls, taxes, surcharges (e.g., airport/port fees), gratuity if selected, waiting time, extra stops, congestion or event surcharges, and dynamic pricing where applicable.
• Final charges may vary based on actual route, waiting time, add-ons, or changes requested by you. You authorize our payment processor (e.g., Stripe) to charge your payment method.
• We may pre-authorize your card to verify payment. Refunds/adjustments are subject to the policies of the providing company and applicable law.

4. Cancellations & No-Shows

• Cancellation windows and fees are set by the providing company and may vary by service type, pick-up location, or event (airport arrivals, ports, etc.).
• No-show fees may apply if the driver arrives on time at the designated location and you fail to appear within the grace period.
• Flight monitoring (if enabled) may adjust pick-up times, but you remain responsible for keeping contact details updated and being reachable.

5. User Conduct

• Do not misuse the Services (e.g., reverse engineer, scrape, overload, introduce malware, circumvent security, or use for unlawful purposes).
• Do not harass, threaten, or endanger drivers, dispatchers, companies, passengers, or our staff. Follow all safety instructions and applicable laws.
• Provide accurate trip details and do not submit fraudulent bookings or payment information.

6. Driver/Company/Dispatcher Obligations

• Maintain required licenses, permits, insurance, and regulatory compliance (e.g., city/taxi & limousine rules) for the regions where you operate.
• Ensure vehicles meet safety and maintenance standards. Drivers must operate safely, obey traffic laws, and not drive under the influence.
• Use the Services in accordance with these Terms, applicable regulations, and any community or affiliate program rules.

7. Communities & Affiliate Jobs

• Members of communities (companies, drivers, dispatchers) may see limited profile and performance signals as necessary to facilitate offers and jobs.
• We may moderate, limit, or remove access to communities at our discretion to maintain platform integrity and safety.

8. App Permissions & Location

• Some features require device permissions (e.g., location, notifications). You can disable permissions in your settings; certain features may not function without them.
• Drivers may be required to share precise location while on duty or during an active trip for dispatch and safety purposes.

9. Content You Provide

• You retain ownership of content you submit (e.g., messages, reviews). You grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, and display such content to provide and improve the Services.
• Do not upload content that is unlawful, infringing, defamatory, obscene, or violates privacy or third-party rights.

10. Intellectual Property

• The Services and all related materials are protected by IP laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purposes.
• Do not copy, modify, distribute, sell, or lease any part of the Services; do not reverse engineer or attempt to extract source code except to the extent permitted by law.

The Services may integrate with third-party services (e.g., maps, payments, analytics, flight data). Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party practices.

12. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you consent to our data practices as described there.

13. Beta Features & Changes

• We may release beta or pre-release features that may be incomplete or change at any time. You use beta features at your own risk.
• We may modify or discontinue parts of the Services without notice, subject to applicable law.

15. Limitation of Liability

• To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenues, arising out of or related to your use of the Services.
• Our aggregate liability for any claim is limited to the greater of: (a) amounts you paid to us for the Services during the 6 months preceding the claim; or (b) USD $100.
• These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless E-BookNow and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or applicable laws.

17. Termination

• You may stop using the Services at any time. You remain responsible for any outstanding charges.
• We may suspend or terminate access for any reason, including breach, fraud, or risks to safety or operations.
• Upon termination, provisions that by their nature should survive (e.g., IP, disclaimers, limitations, indemnification, governing law) will survive.

18. Governing Law; Dispute Resolution

• These Terms are governed by the laws of , without regard to conflict of law principles.
• Informal Resolution: Before filing a claim, you agree to first contact us at legal@e-booknow.com to attempt to resolve the dispute informally within 30 days.
• Arbitration: Except for small claims and injunctive relief, disputes will be resolved by binding arbitration on an individual basis under the rules of . You waive the right to a jury trial and to participate in class actions.
• Class Action Waiver: Disputes must be brought in your individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.

19. Communications & E-Sign Consent

• By creating an account or providing your contact details, you consent to receive transactional emails, SMS, and push notifications related to your bookings and the Services. You can opt out of non-transactional marketing messages.
• You consent to use of electronic signatures and records for transactions and notices related to the Services.

20. DMCA & IP Complaints

If you believe content on the Services infringes your copyright, contact legal@e-booknow.com with a detailed notice including: your contact info, work claimed infringed, location of the material, a statement under penalty of perjury, and your signature. We may remove content and terminate repeat infringers.

21. International Use

We make no representation that the Services are appropriate or available in all locations. You are responsible for compliance with local laws where you use the Services.

22. Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, strikes, outages, pandemics, governmental actions).

23. Entire Agreement; Changes

• These Terms, together with our Privacy Policy and any service-specific terms, are the entire agreement between you and us.
• We may update these Terms from time to time. We will post the updated Terms with the “Effective date” above. Your continued use constitutes acceptance.

24. Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

25. Severability; Waiver

If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our rights.
